Definitions
The term “Final Product” refers to a completed work that incorporates the licensed Assets but does not include the distribution of the Assets themselves in their original form.
We/Us/Our means ITHappy Studios.
You means the individual or organization who downloads Assets through our website at https://ithappystudios.com.
Introduction
We hereby grant you a perpetual, worldwide, non-exclusive, non-transferable, and limited Licence to use the free Assets (asset packs located in the Free category) subject to the terms and conditions set forth below. Each Asset Pack may be used to create an unlimited number of Final Products within the scope of the activities specified in Section 3.3 of the One Time Purchase Licence.
However, you shall not:
- Violate the requirements of Section 4.1 of the One Time Purchase Licence;
- Distribute the Assets “as is” (even for free);
- Modify or create derivative works (or distribute any modified versions of such derivative works) unless they are part of a Final Product; or
- Use the Assets in any tool or application that allows the end user to create a custom product as part of “on-demand,” “made-to-order,” or “build-it-yourself” services.
Disclaimer and Liability
Since we provide the Assets to you for free, they are offered “as is” without any warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
You agree to indemnify us against all losses, costs (including full indemnity legal costs), expenses, claims, or liabilities that we incur as a result of or in connection with any third-party claims related to your use of the Assets.
To the fullest extent permitted by applicable law, we exclude liability to you (whether in contract, tort (including negligence), or otherwise) arising from or in connection with your use of the Assets. If we cannot exclude liability, our total liability to you is limited to $10.
Other Legal Information
In all other respects not covered by this policy, the provisions of the One Time Purchase Licence shall apply.
